1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Dark Logic Algo ("Company," "we," "us," or "our") regarding your use of the Dark Logic Algo desktop trading software application ("Software" or "Application") and related services.

By downloading, installing, accessing, or using our Software, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Software and should uninstall it immediately.

2. License Grant and Restrictions

2.1 License Grant

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Software solely for your personal or business trading activities.

Your license is bound to specific hardware configurations as determined by our licensing system. The Software may collect device identifiers and system information to enforce license compliance and prevent unauthorized use.

• Install the Software on devices covered by your license
• Receive updates and support as provided by the Company
• Access documentation and educational materials

3. Prohibited Uses and Restrictions

You expressly agree NOT to:

• Reverse Engineer: Disassemble, decompile, reverse engineer, or attempt to derive the source code of the Software
• Redistribute: Sell, lease, sublicense, distribute, or transfer the Software or your license rights
• Circumvent Protection: Remove, disable, or circumvent any security features or license protection mechanisms
• Multiple Installations: Install the Software on more devices than permitted by your license
• Commercial Redistribution: Use the Software to provide services to third parties without written authorization
• Illegal Activities: Use the Software for any unlawful purpose or in violation of applicable regulations
• Market Manipulation: Use the Software for market manipulation, wash trading, or other prohibited trading practices
• Unauthorized Access: Attempt to gain unauthorized access to our systems, servers, or networks

4. User Responsibilities

4.1 Account Security

You are responsible for maintaining the confidentiality of your license key, login credentials, and any other authentication information. You must notify us immediately of any unauthorized use of your account.

4.2 Compliance

You agree to:

• Comply with all applicable laws, regulations, and exchange rules
• Ensure you have appropriate authorization to engage in algorithmic trading
• Maintain adequate capital and risk management practices
• Monitor your trading activities and positions regularly
• Provide accurate information during registration and license activation

4.3 System Requirements

You are responsible for ensuring your computer system meets the minimum requirements for running the Software and maintaining a stable internet connection for proper functionality.

5. Trading Risks and Disclaimers

5.1 Market Risks

You acknowledge and understand that:

• Past performance of trading strategies does not guarantee future results
• Market conditions can change rapidly and unpredictably
• Automated trading systems may experience technical failures or delays
• Slippage, latency, and execution delays may impact trading results
• You may experience significant financial losses

5.2 Technical Risks

The Software may be subject to:

• Technical malfunctions, bugs, or system failures
• Internet connectivity issues affecting trade execution
• Broker or exchange downtime or technical problems
• Data feed interruptions or inaccuracies
• Operating system or hardware compatibility issues

6. Intellectual Property Rights

The Software, including all algorithms, code, documentation, trademarks, and related materials, is protected by intellectual property laws and remains the exclusive property of Dark Logic Algo. Your license does not grant you any ownership rights in the Software.

7. Privacy and Data Collection

Your privacy is important to us. Our collection, use, and protection of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Software, you consent to our data practices as described in the Privacy Policy.

8. Payment Terms and Refunds

8.1 License Fees

Use of the Software requires payment of applicable license fees. All fees are due in advance and are non-refundable except as specifically provided in these Terms or required by law.

8.2 Refund Policy

We offer a limited refund policy subject to the following conditions:

• Refund requests must be made within 14 days of initial purchase
• The Software must not have been used for live trading
• Technical issues must be reported and unresolvable by our support team
• Refunds are processed to the original payment method within 5-10 business days

9. Updates and Modifications

We may provide updates, patches, or modifications to the Software. You agree to install updates promptly to maintain security and functionality. We reserve the right to modify features, discontinue certain functionalities, or release new versions of the Software.

10. Limitation of Liability

Our total liability to you for all claims arising from or relating to the Software shall not exceed the amount you paid for your current license term. Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Dark Logic Algo and its officers, directors, employees, and agents from any claims, damages, losses, costs, or expenses arising from:

• Your use of the Software
• Your violation of these Terms
• Your trading activities or decisions
• Any false or misleading information you provide
• Your violation of applicable laws or regulations

12. Termination

12.1 Termination by You

You may terminate this agreement at any time by uninstalling the Software and ceasing all use. Termination does not entitle you to a refund of license fees already paid.

12.2 Termination by Us

We may terminate your license immediately without notice if:

• You breach any provision of these Terms
• You fail to pay applicable fees
• You engage in prohibited or illegal activities
• We discontinue the Software or service

12.3 Effect of Termination

Upon termination, you must immediately cease using the Software and uninstall it from all devices. Provisions regarding intellectual property, limitation of liability, and indemnification shall survive termination.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or use of the Software shall be resolved through binding arbitration, except for claims of intellectual property infringement which may be brought in court.

14. Severability and Waiver

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.

15. Changes to Terms

Continued use of the Software after changes constitutes acceptance of the modified Terms.
